Welcome to Vendor Centric’s UG Procurement Compliance Toolkit (the "Toolkit"). By accessing or using the Toolkit, you agree to comply with and be bound by these Terms of Use. Please read them carefully.

1. Acceptance of Terms
By accessing or using this Toolkit, you accept and agree to these Terms of Use and all applicable laws and regulations. If you do not agree with these terms, you are prohibited from using or accessing this Toolkit.Â

2. Use of the Toolkit
Vendor Centric grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Toolkit solely for your internal business purposes. This license is granted to the organization that purchases the Toolkit and is limited to its employees or authorized representatives. You agree to use the Toolkit only for lawful purposes and in compliance with these Terms of Use.

3. Restrictions on Distribution
The use of the Toolkit is strictly limited to the purchasing organization. You may not share, distribute, sublicense, or provide access to the Toolkit or any downloaded materials, content, or intellectual property associated with it to individuals or entities outside of your organization. Any attempt to share the Toolkit or its contents with third parties in any form constitutes a violation of these Terms of Use and may result in termination of access to the Toolkit without a refund, as well as potential legal action to protect VendorCentric’s intellectual property rights.

4. User Accounts
You will need to create an account to access the Toolkit. You are responsible for maintaining the confidentiality of your account information and for all activities under your account.

5. Intellectual Property
All content, features, and functionality of the Toolkit (including but not limited to documents, text, graphics, videos, and logos) are the property of Vendor Centric or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without prior written permission from Vendor Centric.

6. Usability Guarantee and Refunds
Vendor Centric guarantees that the Toolkit can be adapted for any organization receiving federal financial assistance, with the goal of analyzing and updating procurement policies and procedures to comply with the 2024 Uniform Guidance procurement standards. If, after working with your assigned Success Manager, it is determined that the Toolkit cannot be applied to your organization’s operations due to its unique nature and cannot be adapted to meet your needs, Vendor Centric will issue a full refund.
 Here's how it works:
- Step 1: Attempt to use the Toolkit by a) conducting the policy and procedure gap analysis, and b) making updates to your policies and procedures using the playbook, within the first 60 days of purchase.
- Step 2: If you encounter difficulties using the tools for the gap analysis or policy and procedure updates, you must meet with your dedicated Success Manager to discuss and troubleshoot the issues.
- Step 3: If, after these steps, the Toolkit is determined to be unsuitable for your specific operational needs, a full refund will be issued.

7. Disclaimer of Warranties
The Toolkit and all content, materials, and services provided through it are offered "as is" and "as available," without warranties of any kind, either express or implied. Vendor Centric makes no warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of the Toolkit for any specific purpose, nor does it guarantee that the Toolkit will be error-free or uninterrupted.
Users are responsible for applying the Toolkit to their operations and for making all decisions regarding the policies and procedures they choose to implement. Vendor Centric assumes no responsibility for those decisions and does not guarantee that the policies and procedures created or adapted using the Toolkit will meet all compliance requirements or pass any audits. Vendor Centric is not responsible for any decisions made by the user in reliance on the Toolkit’s content.

8. Limitations of Liability
In no event shall Vendor Centric be liable for any direct, indirect, consequential, or incidental damages arising from your use of the Toolkit or inability to use the Toolkit. Vendor Centric’s liability shall not exceed the amount you paid for the services provided.

9. Modifications
Vendor Centric reserves the right to update or modify these Terms of Use at any time without prior notice. Your continued use of the Toolkit after any changes constitutes acceptance of the new Terms of Use. Vendor Centric also reserves the right to modify the Toolkit and its contents at any time.

10. Governing Law
These Terms of Use shall be governed by and construed by the laws of Maryland, without regard to its conflict of law principles.
